How do I buy shares?
Click here to go to the Sourced Market investment page on CrowdBnk’s main site. There you’ll need to “register” (create a username and password) and then “upgrade” to investor status by filling out a short online form. Once you’ve upgraded, return to the Sourced Market investment page (found under “View Projects” at the top of the CrowdBnk site) and click the “Invest Now” button.

What should I do before I buy shares?
You should read the Investment Memo (i.e. the business plan) and/or the project pages on the CrowdBnk website, and the terms and conditions which are displayed on the CrowdBnk site.

How is the Sourced Market share offer regulated?
The Sourced Market Investment Memo has been approved as a Financial Promotion by BriceAmery Capital Limited, which is authorised and regulated by the Financial Conduct Authority (No. 489602). CrowdBnk Limited (No. 586771) is an appointed representative of BriceAmery Capital Limited.

What does it cost to buy shares?
One Share costs £1. The minimum investment is £25. You cannot invest more than the outstanding amount shown on the CrowdBnk project page.

Will I be entitled to dividends?
Yes, the shares Sourced Market are selling are ordinary shares with the same rights to vote, to dividends and to capital as those of all existing shareholders of Sourced Market. However Sourced Market’s current strategy is to reinvest their profits in growing the business, rather than paying dividends in the next few years.

What are the tax benefits for investing in Sourced Market?
Sourced Market qualifies for the Enterprise Investment Scheme (EIS), meaning if you have a UK tax liability for the 2013 or 2014 tax years, you’ll get a 30% tax rebate from the amount you invest. There is still time to claim this relief when completing your 2012-13 tax return (which is due on or before 31 Jan 2014) or you can claim it in the 2013-14 tax year.

Furthermore, any gains you make on the disposal of the shares in the future are NOT subject to capital gains tax (currently at 18% or 28% if you are a higher rate taxpayer) as long as you hold the shares for a minimum period (normally 3 years from the date of the issue of shares). If you make a loss instead, it may be possible to make an additional claim against income rather than against any future gains.

What kind of exit is possible?
A variety of exit strategies are potentially available at different stages of the business, including a secondary investment wave to fund more ambitious further growth, acquisition by a larger retailer, private equity acquisition or possibly the opportunity to float the business on a recognised market exchange following long term successful growth. There is currently no secondary market for the shares and there can be no assurance that an active trading market for the shares will develop in the future. However, the management team at Sourced Market think that a first exit after 3 years is possible, where it may be possible investors would receive three times their investment in return if the business achieves its milestones and there is an offer made through a secondary offering. Due to tax implications, an exit within the first three years is highly unlikely.

I’ve invested, when do I receive my reward(s)?
Rewards are contingent upon Sourced Market hitting their fundraising target of £700k. When Sourced Market reaches this target, investors will be notified about claiming their rewards. If Sourced Market doesn’t raise £700k by midnight on 16 Dec (when the offer closes), all investors will have their money credited back to their CrowdBnk user accounts and no equity or rewards will be issued. You can visit the Sourced Market page on CrowdBnk’s site to see how much has been raised to date.

What happens if Sourced Market don’t reach their investment target of £700,000?
The fundraise is off to a good start, and we certainly hope to reach the target. However, if Sourced Market doesn’t raise £700k by the end of 16 December (when the offer closes), all investors will be notified and no shares or rewards will be issued. In this event, if the investors and CrowdBnk agree, we may extend the deadline to allow the fundraise to complete. If there is no extension, the amount of money you allocated to Sourced Market will be credited back to your CrowdBnk User Account. You’ll be free to invest that money in another project on our site or refund your money by emailing us at [email protected] (at which point we’ll credit it back to your initial payment method)..

I live outside the UK, can I still invest?
Yes, you can still potentially invest in some countries. Our share offering is prepared in accordance with UK law. Please email CrowdBnk at [email protected] about what to do if you live outside the United Kingdom.
